Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Orbit Logic Pte. Ltd. ("Orbit Logic," "we," "us," or "our"), a company incorporated in Singapore. By accessing or using our website, GPU infrastructure, data engine, model services, or any other products or services we provide (collectively, the "Services"), you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use our Services.

2. Provision of Services

2.1 Access Rights

Subject to your compliance with these Terms and any applicable order form or service agreement, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes. Access may be conditioned on account registration, payment, and acceptance of additional terms specific to certain service tiers.

2.2 Resource Availability

We strive to maintain high availability of our Services. However, we do not guarantee uninterrupted access. Services may be subject to scheduled maintenance, upgrades, or modifications. We will use commercially reasonable efforts to provide advance notice of planned downtime where practicable. Resource availability, including GPU capacity and data delivery timelines, may vary based on demand and operational constraints.

3. User Responsibilities

You agree to:

• Provide accurate and complete information when registering or using the Services
• Maintain the confidentiality of your account credentials and accept responsibility for all activities under your account
• Use the Services only for lawful purposes and in compliance with all applicable laws, including export control and data protection regulations
• Not use the Services to transmit malicious code, infringe intellectual property rights, or engage in fraudulent or abusive conduct
• Not attempt to gain unauthorized access to our systems, other users' accounts, or any third-party systems
• Not use the Services to develop or deploy models or applications that could cause harm, violate rights, or contravene ethical guidelines

You are solely responsible for the content you upload, process, or generate through the Services. You represent that you have all necessary rights to such content and that your use does not violate any third-party rights.

4. Fees and Payment

Fees for the Services are as specified in your order form, quote, or our then-current pricing. You agree to pay all fees when due. Unless otherwise agreed:

• Fees are quoted and payable in the currency specified in your agreement
• Payment terms are net 30 days from invoice date unless a different term is agreed
• Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law
• We may suspend or terminate Services for non-payment after reasonable notice

All fees are non-refundable unless otherwise expressly stated or required by applicable law.

5. Limitation of Liability

5.1 Services Provided "As Is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

5.2 Exclusion of Indirect Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORBIT LOGIC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY.

5.3 Liability Cap

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemics, government actions, embargoes, strikes, labor disputes, power outages, natural disasters, or failures of third-party infrastructure or telecommunications. The affected party shall use reasonable efforts to mitigate the impact of such events and shall notify the other party as soon as practicable.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Singapore.

8. General Provisions

These Terms, together with our Privacy Policy and any applicable order forms or service agreements, constitute the entire agreement between you and Orbit Logic regarding the Services. We may modify these Terms from time to time; material changes will be communicated via email or through the Services. Continued use of the Services after such changes constitutes acceptance of the revised Terms. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
